The Ebell of Los Angeles is a California not-for-profit corporation (hereinafter “The Ebell” or “We/Us/Our”) that provides services, products and information via our websites, venues, and platforms (collectively, the “Platforms”).
Please read these terms and conditions carefully before accessing or using the Platforms. By accessing or using any part of the website, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Platforms or use any services. By accessing or using any part of our Platforms, you agree to be bound by these Terms and Conditions.
You agree to the terms of our Privacy Policy as may be amended from time-to-time.
Data Usage You acknowledge that certain data may be collected and shared with third-party service providers as necessary to operate our Platforms, process transactions, and deliver services.
We offer event tickets, venue services (including rentals and production use), and memberships (collectively, “Products”). By purchasing any Products, you agree to these Payment Terms.
You represent that you are authorized to use your selected payment method and agree to indemnify us for any resulting losses. Payments are processed through third-party payment providers; their terms apply. You are responsible for all applicable taxes, service fees, and processing charges associated with purchases.
Event ticket purchases are final unless otherwise stated at the time of purchase. Any permitted refunds or exchanges are subject to the applicable event policy. Refund eligibility varies by event and ticketing provider and will be disclosed at the time of purchase.
Memberships are subject to the terms in effect at the time of enrollment.
Venue and event services are governed by the specific agreement for each event, including applicable cancellation policies.
The Platforms and all Materials are provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee uninterrupted access, error-free operation, or the accuracy or completeness of information provided through the Platforms.
Membership Term, Renewal, and Cancellation Memberships are offered on an annual basis unless otherwise specified.
You may cancel your membership at any time; however, fees are non-refundable and remain active through the term.
We reserve the right to modify fees upon renewal with reasonable notice.
Member Responsibilities Members agree to provide accurate information and comply with policies. We may suspend or terminate membership for violations.
We reserve the right to suspend or terminate memberships for violations of these Terms & Conditions, organizational policies, or conduct that is harmful to the organization, its members, staff, guests, or operations.
Use of Platforms You agree to use our Platforms only for lawful purposes and in accordance with these Terms & Conditions. You represent that you are of legal age and capable of entering into a binding contract.
Prohibited Conduct You may not: (i) violate any applicable laws or regulations; (ii) collect or misuse personal data of other users; (iii) impersonate any person or entity; (iv) distribute spam or solicit for private gain; (v) disrupt or compromise platform security or functionality; (vi) introduce harmful software; (vii) access or attempt to access accounts or systems without authorization; or (viii) interfere with others’ use of the platforms or assist others in such conduct.
Termination and Legal Cooperation We may suspend or terminate access at any time at our discretion and may cooperate with law enforcement or legal processes as permitted by law.
User Submissions and Content If you submit content, you grant us a worldwide, non-exclusive, royalty-free license to use and distribute it.
We may remove content at our discretion.
Community Standards Users must engage respectfully. We may remove users whose behavior is harmful or disruptive.
We may offer events involving interaction with other attendees, staff, or performers, in person. By attending or participating, you agree to comply with all applicable rules and staff directions and acknowledge that participation is voluntary and at your own risk. We are not responsible for any personal injury, loss, or damage to property arising from participation, except where required by law.
By attending events, you acknowledge that photography, audio recording, and video recording may occur and grant permission for your likeness to be used for archival, promotional, or educational purposes without compensation, except where prohibited by law.
The Ebell of Los Angeles welcomes requests for reasonable accommodations and encourage guests requiring assistance or accommodations to contact us in advance of their visit or event whenever possible so that we may make reasonable efforts to support their needs.
Accessibility features, services, and accommodations may vary depending on the nature and location of the event or program. Certain historic areas of the campus may have physical limitations; however, we are committed to working in good faith to provide access to programs, services, and experiences to the extent reasonably possible.
We are continually working to improve the accessibility and usability of our Platforms and physical spaces.
Neither party shall be deemed in breach of this Agreement or liable for any failure or delay in performance due to events beyond their reasonable control (“Force Majeure Event”), including but not limited to acts of God; fire; flood; earthquake; pandemic or public health emergency; governmental orders or restrictions; labor disputes; utility failures; acts of terrorism; civil unrest; or any other cause beyond the reasonable control of the affected party.
You agree to indemnify, defend, and hold harmless THE EBELL OF LOS ANGELES, WILSHIRE EBELL THEATRE, and their respective members, owners, officers, directors, agents, representatives, and employees (collectively, the “Indemnitees”) from and against any and all claims, damages, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of or related to: (i) the Event; (ii) Your use of the Premises; (iii) any breach of this Agreement; or (iv) any act or omission of you or your employees, contractors, agents, vendors, invitees, guests, patrons, or performers. This indemnity shall not apply to the extent any claim is finally determined to have been caused by the negligence or willful misconduct of an Indemnitee.
To the maximum extent permitted by law, we shall not be responsible for any loss, injury, or damage to persons or property, including loss of profits or third-party costs, arising from use of the venue or participation in events.
Ownership and Use. Our Platforms and all content on them, including text, images, audio, video, software, and design (collectively, “Materials”) are owned by us or our licensors and protected by applicable intellectual property laws. We reserve all rights. You may use the platforms only for their intended, non-commercial purposes. No rights are granted except as expressly stated, and any implied license is revocable at our discretion.
Restrictions. Except as expressly permitted, you may not copy, reproduce, distribute, display, perform, modify, create derivative works from, or otherwise exploit the Materials, or use our trademarks, logos, or trade names, without our prior written consent.
Third Party Content. Some content is owned by third parties and used under license. All rights remain with those owners, and you may not use such content except as expressly permitted.
Governing Law. These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal action arising from these Terms & Conditions shall be brought in the state or federal courts located in Los Angeles County, California.
We reserve the right to modify these Terms & Conditions at any time. Updated versions will be posted on the Platforms with an updated effective date.
